Soccer Film Room & Futbol Film Room Service Agreement

This Soccer Film Room & Futbol Film Room Service Agreement (“Agreement”) is entered into by and between Futbol Development Group, together with the affiliated entity identified on the Participant’s invoice, order confirmation, or payment receipt (“FDG”), and the purchaser identified below (“Purchaser”).

If the report is purchased for a player under eighteen years of age, the Purchaser represents that they are the player’s parent or legal guardian, or otherwise have the legal authority to purchase the service and submit the player’s information and match footage.

This Agreement governs all Soccer Film Room (“SFR”) and Futbol Film Room (“FFR”) products and services purchased from FDG.

Purpose of the Service

Soccer Film Room and Futbol Film Room are proprietary futbol intelligence services developed and operated by Futbol Development Group.

The purpose of every report is to transform match footage into professional educational analysis that helps players, parents, coaches, clubs, academies, and organizations better understand player performance, decision-making, and long-term development.

Reports are intended to improve futbol intelligence and support informed development decisions.

The service is educational in nature and is not intended to function as scouting, representation, recruiting, medical evaluation, or certification of ability.

Services

Depending upon the product purchased, services may include:

Future analysis services introduced by FDG.

Only the services identified in the Purchaser's order confirmation or invoice are included.

Educational Purpose

Every report is intended solely as an educational resource.

Reports may include professional observations relating to:

Recommended training emphasis.

Reports reflect professional futbol opinions based solely upon the footage and information available at the time of review.

Reasonable analysts may reach different conclusions regarding the same match.

No report should be interpreted as an objective measurement of talent, future potential, or player value.

Analyst Review

Every report is intended to include meaningful review by qualified futbol analysts, coaches, or appropriately trained football professionals.

FDG may utilize technology, automation, artificial intelligence, computer vision, video-tagging software, or other digital tools to assist with:

Draft preparation.

Professional human judgment remains an essential component of every completed report.

Player Footage Requirements

The Purchaser is responsible for providing footage that:

Is accompanied by any additional information reasonably requested by FDG.

Poor video quality, unstable camera angles, limited visibility, incorrect player identification, incomplete matches, or missing information may significantly limit the scope or accuracy of the analysis.

FDG may request replacement footage or additional information before beginning or completing a report.

Player Identification

The Purchaser is responsible for correctly identifying the player to be analyzed.

Identification may include:

Other identifying information.

FDG is not responsible for errors resulting from incorrect or incomplete player identification provided by the Purchaser.

Scope of Analysis

The depth of analysis depends upon factors including:

Professional judgment.

Reports are designed to identify the most educational moments rather than document every action taken during a match.

The omission of a particular play does not imply approval or disapproval of that action.

Delivery

FDG will use reasonable efforts to deliver completed reports within the timeframe stated on the applicable purchase page, invoice, or order confirmation.

Unless otherwise stated, delivery is generally expected within three to five business days after FDG has received:

Any additional information reasonably requested.

Delivery estimates are not guarantees.

Delivery may be delayed by:

Circumstances beyond FDG's reasonable control.

Reports may be delivered through email, secure download, customer portal, or another approved digital platform.

Multi-report Packages

FDG may offer discounted five-report, ten-report, or other package options.

Unless otherwise stated:

Package pricing reflects discounted rates that cannot be recalculated after partial use.

FDG may approve transfers or extensions in exceptional circumstances at its sole discretion.

Satisfaction Policy

Customer satisfaction is important to FDG.

Where a satisfaction guarantee is expressly offered, the Purchaser agrees to:

Permit FDG to revise, supplement, or clarify the report where appropriate.

Professional disagreement with an analyst's opinion does not by itself establish that a report is inaccurate or defective.

Training Recommendations

Reports may include suggested development priorities and training recommendations.

These recommendations are educational guidance only.

They are not intended to replace:

Other licensed professional services.

The Purchaser and Player remain responsible for determining how recommendations fit into the Player's overall development program.

Player Responsibilities

The Player is responsible for:

Using the report as one educational resource among many.

Long-term development depends upon consistent effort over time.

Parent Responsibilities

Parents and legal guardians are encouraged to use reports to support constructive discussion rather than criticism.

Parents should:

Understand that development occurs over time rather than from a single match.

No Guarantee of Results

Purchasing an SFR or FFR report does not guarantee:

Any specific futbol outcome.

Player development depends upon numerous factors outside FDG's control, including effort, coaching, health, maturity, competitive environment, opportunities, and long-term commitment.

Payment for a report is payment for professional educational analysis—not payment for a guaranteed result.

Clubs, Academies, and Third Parties

Reports are independent educational opinions.

FDG does not control decisions made by:

Governing bodies.

Nothing contained in a report requires another organization to adopt, accept, or implement FDG's recommendations.

Intellectual Property

All SFR and FFR methodologies, report formats, graphics, written analysis, branding, templates, educational materials, annotations, scoring systems, workflows, software, and proprietary content remain the exclusive intellectual property of FDG.

Purchasers receive only a limited personal-use license.

Ownership is not transferred.

Personal-use License

Upon full payment, FDG grants the Purchaser a limited, non-exclusive, non-transferable license to use the completed report for the Player's personal development.

Reports may be shared with:

Other development professionals assisting the Player.

Reports may not be:

Reproduced for commercial purposes

without FDG's prior written consent.

Artificial Intelligence

Reports, written analysis, annotations, graphics, templates, methodologies, educational materials, and proprietary content may not be used to train, improve, fine-tune, populate, or develop any artificial intelligence system, machine-learning model, automated platform, or competing technology without FDG's prior written authorization.

Confidentiality

Reports frequently contain confidential player-development information.

The Purchaser is responsible for protecting:

Private report materials.

FDG recommends sharing reports only with individuals directly involved in the Player's development.

Public distribution remains the responsibility of the Purchaser.

Club and Organizational Services

FDG may provide customized services for:

Organizations.

These services may include:

Other agreed services.

The scope of organizational services shall be governed by the applicable proposal, purchase agreement, or service contract.

Fees and Payment

The Purchaser agrees to pay the amount stated on the invoice, checkout page, order confirmation, or proposal.

Payments may be processed through:

An authorized payment processor.

Failure to complete payment may delay delivery.

Cancellations and Refunds

Refunds and cancellations are governed by the applicable purchase terms and mandatory consumer-protection laws.

Because reports are personalized educational services, cancellation rights may be limited after FDG begins:

Completing the report.

Approved refunds may be reduced by the value of work already completed where permitted by law.

Limitation of Liability

To the fullest extent permitted by law, FDG shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the purchase or use of SFR or FFR services.

FDG's maximum aggregate liability shall not exceed the amount paid for the specific report or package giving rise to the claim.

Nothing limits liability that cannot legally be limited.

Indemnification

The Purchaser agrees to indemnify and hold harmless FDG from third-party claims arising from:

Unlawful conduct by the Purchaser.

Privacy

FDG may collect information reasonably necessary to provide services, including:

Consultation notes.

FDG will process information in accordance with its applicable privacy policy and legal obligations.

Governing Law

This Agreement shall be governed by the law identified on the applicable invoice, order confirmation, or purchase documentation for the contracting FDG entity.

Where no governing law is separately identified, this Agreement shall be governed by the laws of the jurisdiction in which the contracting FDG entity is principally established.

Entire Agreement

This Agreement, together with the applicable purchase confirmation, service description, privacy policy, cancellation policy, and any separately signed participation or assumption-of-risk agreement, constitutes the complete agreement governing Soccer Film Room and Futbol Film Room services.

Participant Acknowledgment

By signing below, the Purchaser acknowledges that:

The Purchaser voluntarily agrees to be legally bound by its terms.
